1. Acceptance of Terms

By accessing or using SiteData™ (“Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and SiteData (“we,” “us,” or “our”). Your continued use of the Service after any modification to these Terms constitutes your acceptance of the revised Terms.

You must affirmatively acknowledge these Terms each time you open a new session on the platform. By clicking “I Understand — Continue to SiteData” in the session notice, you reaffirm your acceptance on that day.

2. Description of Service

SiteData™ provides a web-based platform for commercial and industrial real estate site selection intelligence. The Service aggregates, scores, and presents publicly available parcel data, demographic information, infrastructure proximity metrics, economic incentive zone data, and AI-assisted analysis for properties located in the state of Texas.

The Service is intended for professional use by site selectors, real estate developers, brokers, economic development organizations, and related professionals. Features include parcel search and filtering, the proprietary SiteData Intelligence Score™, demographic and infrastructure analytics, AI-generated Signal Reports, and data export functionality. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Accounts

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use of your account.

You agree to provide accurate, current, and complete information when creating your account and to update that information as necessary to keep it accurate and complete. You must be at least 18 years of age and have the full legal authority to enter into these Terms on behalf of yourself or any organization you represent. Accounts are non-transferable and may not be shared among multiple individuals without our written consent.

4. Subscription & Billing

The Service is offered on a subscription basis. The current plan is Early Access at $50 per month. New subscriptions include a 1-day free trial. A valid payment method is required to start the trial; you will not be charged if you cancel before the trial period ends. At the end of the trial, your subscription begins and you will be billed $50 for the first month.

Payment is processed through secure third-party payment processors. By providing payment information, you authorize us to charge the applicable fees to your payment method. Subscriptions renew automatically each month unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period with no further charges.

Prices are subject to change with 30 days' prior notice. We do not offer prorated refunds for unused portions of a billing period unless required by applicable law.

5. Data & Intellectual Property

The SiteData™ platform — including its proprietary scoring algorithms, composite weighting methodology, interface design, compiled datasets, software architecture, AI-assisted analysis systems, and all related content — is protected by copyright, trade secret, trademark, and other applicable intellectual property laws. All rights not expressly granted to you in these Terms are reserved by SiteData.

Copyright Notice: © 2024–2026 SiteData. All rights reserved. No portion of the platform, its output, or its underlying code may be reproduced, distributed, transmitted, displayed, published, or broadcast without the prior written permission of SiteData.

Underlying parcel and geospatial data is sourced from public agencies including the Texas Natural Resources Information System (TNRIS) / StratMap, the Texas Department of Transportation (TxDOT), the U.S. Census Bureau, the U.S. Department of Housing and Urban Development (HUD), the Homeland Infrastructure Foundation-Level Data (HIFLD) program, the Federal Emergency Management Agency (FEMA), the U.S. Bureau of Economic Analysis (BEA), and the Texas Comptroller of Public Accounts. Such data remains subject to those sources' respective terms and conditions.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use data through the Service for your own internal professional analysis and decision-making purposes. You may not resell, redistribute, sublicense, scrape, bulk-export, or otherwise make data obtained through the Service available to third parties without our prior written permission.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
• Attempt to reverse-engineer, decompile, disassemble, scrape, or systematically extract data, scoring logic, or methodology from the Service beyond the scope of your authorized access;
• Copy, clone, or create a substantially similar or derivative product, platform, or service that replicates SiteData's functionality, scoring system, or user interface;
• Share, sell, or transfer your account credentials to any other person or entity;
• Use automated bots, crawlers, scrapers, or other tools to access the Service at a rate that materially degrades server performance or circumvents access controls;
• Introduce malware, viruses, or other harmful code into the Service;
• Use the Service to discriminate against any person in violation of applicable fair housing, civil rights, or anti-discrimination laws;
• Misrepresent your identity or affiliation, or impersonate any person or organization;
• Interfere with or disrupt the integrity or performance of the Service or related infrastructure.

We reserve the right to investigate and take appropriate legal action — including pursuing injunctive relief, monetary damages, and attorneys' fees — against anyone who, in our sole discretion, violates this provision.

7. Disclaimers & Data Accuracy

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant that data presented through the Service is complete, accurate, current, or suitable for any particular purpose. Parcel data, composite scores, proximity metrics, and analytics are provided for informational and guidance purposes only and do not constitute legal, financial, environmental, engineering, or investment advice.

Source certification: Data is derived from certified public agencies and periodically refreshed, but may not reflect the most current conditions, regulatory changes, or parcel transactions. Vintage dates vary by dataset. SiteData makes no representation that data is free from errors, omissions, or gaps.

Decision-making risk: The sole responsibility for any site selection, real estate acquisition, business location, capital investment, or other decisions made using information obtained through this Service rests entirely with the user. SiteData expressly disclaims any responsibility for losses, damages, or adverse outcomes arising from reliance on platform data, scores, rankings, or AI-generated reports.

Users must conduct their own independent due diligence — including consultation with qualified legal, financial, environmental, and real estate professionals — before making any site selection, development, or investment decisions based on information obtained through the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SITEDATA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In all cases, our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to SiteData in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of information as described in our Privacy Policy.

We do not sell your personal data to third parties. We may share data with trusted service providers who assist in operating the Service, subject to confidentiality obligations. We may also disclose data when required by law or to protect the rights, property, or safety of SiteData, our users, or others.

10. Termination

We may suspend or terminate your account and access to the Service at any time: (a) for violation of these Terms; (b) for non-payment of applicable fees; (c) if we reasonably believe your use poses a security or legal risk; or (d) for any reason with 30 days' prior written notice to you.

You may terminate your account at any time by contacting us or through your account settings. Upon termination for any reason, your right to access and use the Service immediately ceases. We are not liable for any loss or damage resulting from termination.

The following provisions survive termination of these Terms: Section 5 (Data & Intellectual Property), Section 7 (Disclaimers), Section 8 (Limitation of Liability), Section 11 (Governing Law), Section 12 (Trademark & Brand Protection), Section 13 (Trade Secrets & Proprietary Methodology), and any other provisions that by their nature should survive.

11. Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

You agree that any legal action or proceeding relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts of competent jurisdiction located in Travis County, Texas. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and SiteData with respect to the Service.

12. Trademark & Brand Protection

“SiteData,” “SiteData™,” the SiteData logo, the stacked-layers logomark, “SiteData Intelligence Score™,” “Signal Report™,” and all associated product names, slogans, and visual identity elements are trademarks and service marks of SiteData (collectively, “Marks”). Nothing in these Terms grants you any right to use the Marks without the prior written consent of SiteData.

Prohibited uses of the Marks include, but are not limited to: (a) use of any Mark or confusingly similar name, logo, or domain in connection with a competing product or service; (b) use of any Mark in a way that falsely suggests affiliation with, sponsorship by, or endorsement of SiteData; and (c) registration of any domain name, social media handle, or business name that incorporates any Mark or is likely to cause confusion with SiteData.

Any product, service, or platform that substantially replicates or mimics the SiteData brand identity, look and feel, or naming conventions — whether or not it uses the Marks verbatim — may constitute trademark infringement, unfair competition, or trade dress infringement under applicable law. SiteData actively monitors for infringing uses and will pursue all available legal remedies, including injunctive relief, monetary damages, disgorgement of profits, and attorneys' fees.

13. Trade Secrets & Proprietary Methodology

The SiteData platform is built on a proprietary technology stack and methodology that constitutes valuable trade secrets protected under the Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.), the Texas Uniform Trade Secrets Act (Tex. Civ. Prac. & Rem. Code § 134A), and applicable common law.

Protected elements include, without limitation:

• The composite site scoring algorithm, including factor weights, normalization methods, distance decay functions, and score aggregation logic;
• The dataset curation, cleaning, and enrichment pipeline — including methods for joining, reconciling, and validating data from disparate public sources;
• The AI-assisted Signal Report generation system, including prompt design, evidence synthesis logic, and confidence scoring methodology;
• The geospatial tile generation pipeline, parcel enrichment schema, and spatial index architecture;
• The economic incentive scoring models, including TIRZ, Opportunity Zone, and Foreign Trade Zone proximity weighting;
• Non-public business processes, technical architecture decisions, and product roadmap information disclosed to users in any capacity.

You agree not to: (a) copy, reproduce, or reconstruct any protected element; (b) disclose any proprietary information to third parties; (c) use any proprietary information to develop, assist, or advise any competing product or service; or (d) reverse-engineer or attempt to derive the source code, methodology, or algorithms underlying the Service.

Any unauthorized use, disclosure, or misappropriation of SiteData's trade secrets may give rise to civil liability — including injunctive relief and damages — and federal criminal liability under the Defend Trade Secrets Act, including fines and imprisonment. SiteData will vigorously enforce its trade secret rights.

Notice: Building a product that substantially replicates the functionality, scoring methodology, or data compilation approach of SiteData — regardless of whether the Marks or source code are used — may constitute misappropriation of trade secrets, copyright infringement, and unfair competition. SiteData actively monitors for competing products and will pursue legal action where infringement is identified.
